PUBLIC SERVICE AGREEMENT (OFFER)

This Public Service Agreement (hereinafter referred to as the "Agreement") constitutes a legally binding offer made by PuzzleDesire, located at www.puzzledesire.com (hereinafter referred to as the "Service Provider"), to provide web design and development services to users (hereinafter referred to as the "Customer"). By accepting this Agreement, the Customer agrees to the terms outlined below.

1. Definitions

  • 1.1. Service Provider: The company offering services through the website www.puzzledesire.com.
  • 1.2. Customer: Any individual or entity that accepts the terms of this Agreement by placing an order for services.
  • 1.3. Services: Web design, development, and related digital solutions provided by the Service Provider.
  • 1.4. Agreement: This public offer, including any annexes, updates, or amendments.
  • 1.5. Acceptance: Full and unconditional consent to the terms of this Agreement through the placement of an order or payment for services.

2. Subject of the Agreement

  • 2.1. The Service Provider agrees to provide web design and development services, as detailed on www.puzzledesire.com, and the Customer agrees to pay for these services.
  • 2.2. The specific scope of services, deadlines, and costs will be outlined in a separate invoice or project proposal sent to the Customer upon order confirmation.

3. Acceptance of the Offer

  • 3.1. The Customer accepts this Agreement by performing one of the following actions:
    • Placing an order on the website.
    • Making full or partial payment for the services.
    • Sending written confirmation of acceptance via email.
  • 3.2. By accepting this Agreement, the Customer acknowledges that they have read, understood, and agree to the terms herein.

4. Services Provided

  • 4.1. The Service Provider offers the following services:
    • Custom web design and development.
    • UI/UX design.
    • Website maintenance and updates.
    • Digital branding and consulting.
  • 4.2. The exact deliverables, timelines, and revisions will be agreed upon in the project proposal and contract annex.

5. Rights and Obligations

  • 5.1. Service Provider's Rights:
    • Refuse service in cases of inappropriate conduct or failure to provide necessary materials by the Customer.
    • Suspend or terminate services if the Customer violates this Agreement.
    • Publish anonymized case studies or portfolio items showcasing the completed work unless explicitly prohibited by the Customer.
  • 5.2. Service Provider's Obligations:
    • Deliver services in accordance with the agreed scope, quality, and timeline.
    • Ensure the confidentiality of the Customer's data and information.
    • Provide regular updates on project progress.
  • 5.3. Customer's Rights:
    • Request updates on the status of the project.
    • Receive services in accordance with the agreed terms and specifications.
  • 5.4. Customer's Obligations:
    • Provide all necessary materials, information, and feedback required to complete the project.
    • Make timely payments as agreed in the project proposal or invoice.
    • Respect the intellectual property rights of the Service Provider.

6. Payment Terms

  • 6.1. The cost of services will be outlined in the project proposal or invoice.
  • 6.2. Payment must be made in Euros (EUR) via the payment methods specified on the website or invoice.
  • 6.3. The Service Provider may request an upfront deposit of 50% before commencing work.
  • 6.4. Delayed payments may result in a suspension of services until the balance is cleared.

7. Revisions and Modifications

  • 7.1. The Service Provider will provide [the quantity is determined according to the terms of the selected service package] revisions free of charge within the agreed project scope.
  • 7.2. Additional revisions or changes beyond the agreed scope will be charged at an hourly rate of 25 EUR/hour. + TAX IVA 21%

8. Confidentiality

  • 8.1. Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project.
  • 8.2. The Service Provider reserves the right to include anonymized project details in its portfolio unless explicitly prohibited by the Customer.

9. Intellectual Property

  • 9.1. Upon full payment, the Customer will own the final deliverables, including design files and source code.
  • 9.2. The Service Provider retains the right to reuse generic templates, frameworks, or libraries used in the project.

10. Termination

  • 10.1. Either party may terminate the Agreement with 14 days' written notice.
  • 10.2. In the event of termination, the Customer is responsible for payment of all work completed up to the termination date.

11. Liability

  • 11.1. The Service Provider is not liable for:
    • Delays caused by the Customer's failure to provide required materials or approvals.
    • Issues arising from third-party integrations or hosting providers.
  • 11.2. The Service Provider's liability is limited to the amount paid by the Customer for the specific project.

12. Dispute Resolution

  • 12.1. Any disputes arising under this Agreement will be resolved amicably through negotiation.
  • 12.2. If a resolution cannot be reached, disputes will be settled in the courts of Spain, in accordance with applicable EU law.

13. Final Provisions

  • 13.1. This Agreement is a public offer and remains valid until amended or revoked by the Service Provider.
  • 13.2. The Service Provider reserves the right to update this Agreement at any time. The latest version will be published on www.puzzledesire.com.
